Ìtálèwà Partner Agreement
Version 2026-10-v1
Ìtálèwà Partner Agreement (v1)
Effective: October 2026
Governing law: Laws of the Federal Republic of Nigeria. Exclusive venue: Abuja, Nigeria.
This Agreement governs the relationship between Ìtálèwà and the Partner wherever either party operates — in every Nigerian state and in any country abroad. Listing or shooting outside Nigeria does not change Nigeria/Abuja as the governing law and forum.
By accepting, you (“Partner”) agree with Ìtálèwà (“Platform”, “we”) as follows.
1. Independent contractor
You are not an employee, agent, joint venturer, or authorized representative of Ìtálèwà. You have no authority to bind Ìtálèwà or speak for Ìtálèwà.
2. Platform role only
Ìtálèwà provides software, KYC review for listing, directory discovery, and lead facilitation. The shoot contract is solely between Partner and Client. Ìtálèwà is not a party to the shoot, deposit, or delivery terms between you and the client (unless a later paid booking product says otherwise in writing).
3. No liability for shoots
To the fullest extent permitted by law, Ìtálèwà is not liable for shoot quality, taste, timing, no-shows, injury, property damage, equipment loss, copyright claims, client dissatisfaction, cancellation, weather, visas, local permits, or Partner misconduct — beyond removing or suspending a listing. Ìtálèwà’s total liability under this Agreement for any claim is limited to fees actually paid by Partner to Ìtálèwà for Partner Program access in the three months before the claim (and if none, zero).
4. Indemnity
Partner will defend and indemnify Ìtálèwà, its officers, and affiliates against claims, losses, and costs (including reasonable legal fees) arising from Partner’s services, marketing claims, KYC fraud, IP infringement, data mishandling off-platform, or breach of this Agreement.
5. Insurance and local compliance
Partner alone carries any insurance required for their work. Partner alone obtains licenses, visas, tax registrations, and local permissions in every city and country where they shoot. Ìtálèwà does not assume those duties.
6. Verification disclaimer
“Ìtálèwà Verified Partner” means Ìtálèwà reviewed KYC materials Partner submitted. It is not a government license, professional certification, or guarantee of results, safety, or availability.
7. Must use Ìtálèwà for program jobs
For jobs sourced through Ìtálèwà (directory, leads, or referrals marked as program jobs), Partner must deliver the client gallery and the guest face scan on Ìtálèwà. Circumvention may result in suspension, removal, and forfeiture of referral amounts.
8. Referral fee (7–15%)
Ìtálèwà earns a referral percentage set per Partner between seven percent (7%) and fifteen percent (15%) on attributed Ìtálèwà package / platform revenue from clients and jobs linked to this Partner. Partner has no right to claw back fees after the client has paid Ìtálèwà. Shoot fees paid directly client-to-partner in Phase 1 are outside Ìtálèwà checkout unless a later product states otherwise.
9. Non-circumvention (12 months)
For twelve (12) months after a client is introduced via Ìtálèwà, Partner will not divert that client’s Ìtálèwà gallery package fees off-platform to avoid Ìtálèwà charges. Breach may end listing and create a claim for unpaid referral amounts.
10. Intellectual property
Ownership of shoot photographs as between Partner and Client is their deal. When using Ìtálèwà, Partner grants Ìtálèwà the licenses needed to host galleries, run a face scan, and operate the product under Ìtálèwà’s Terms and NDPA notices.
11. KYC accuracy
All identity and company documents must be true and current. False documents = immediate termination and possible reporting to authorities.
12. Suspension and termination
Listing is a privilege. Ìtálèwà may suspend or terminate Partner access and listing at its sole discretion, with or without cause, including for policy, legal, brand, or trust reasons.
13. Lead handling and payments (Phase 1)
Client may pay Partner directly for the shoot unless Ìtálèwà launches paid booking. Ìtálèwà is not an escrow agent in Phase 1. Partner must respond promptly to leads and keep status accurate in the Partner dashboard.
14. Data protection (NDPA)
When Partner uses Ìtálèwà, Partner processes guest and client data under Ìtálèwà’s product rules and applicable Nigeria Data Protection Act requirements. Partner must not misuse lead contact details for unrelated spam.
15. International operation
This Agreement applies worldwide. Local mandatory consumer or labour law that cannot be waived remains; otherwise Nigeria/Abuja controls.
16. Entire agreement; updates
This Agreement plus Ìtálèwà Terms and Privacy/NDPA pages are the entire partner deal for listing. New agreement versions require re-acceptance to remain listed.
If you do not agree, do not apply and do not accept.
